MEMBERSHIP AGREEMENT FOR Dr Jae’s MEDICAL CLINIC
1. DEFINITIONS
"Member" means the individual or entity purchasing a membership to Dr Jae’s Medical Clinic.
"Membership" means the agreement between Dr Jae’s Medical Clinic and the Member, as outlined in this contract.
"Services" means the medical services provided by Dr Jae’s Medical Clinic to the Member, including but not limited to consultations, exams, and treatments.
"Fees" means the monthly or annual payment made by the Member to [Clinic Name] Medical Clinic for the Membership.
2. TERM AND TERMINATION
The Membership term begins on the date of purchase and continues for the duration of the contract term.
The contract term is 1 year
Either party may terminate this contract with written notice to the other party at least 90 days prior to the end of the contract term.
Upon termination, the Member's access to Services will cease.
3. FEES AND PAYMENT
The Member shall pay the Fees in full and on time, as specified in the contract.
The Member shall provide Dr Jae’s Medical Clinic with a valid payment method, such as credit card or bank transfer.
Dr Jae’s Medical Clinic reserves the right to change the Fees at any time, with at least 90 days' notice to the Member.
4. SERVICES AND LIMITATIONS
Dr Jae’s Medical Clinic shall provide the Member with access to Services, subject to availability and subject to the terms of this contract.
The Member acknowledges that Dr Jae’s Medical Clinic is not responsible for any medical conditions or injuries that may arise from the Member's failure to follow medical advice or instructions.
Dr Jae’s Medical Clinic reserves the right to limit or restrict access to Services for any Member who has failed to pay Fees or has engaged in behavior that is deemed detrimental to the clinic's operations.
5. CONFIDENTIALITY AND DATA PROTECTION
Dr Jae’s Medical Clinic shall maintain the confidentiality of the Member's personal and medical information, in accordance with applicable laws and regulations.
The Member acknowledges that Dr Jae’s Medical Clinic may share de-identified data with third-party service providers for the purpose of improving the Services.
6. INDEMNIFICATION
The Member shall indemnify and hold harmless Dr Jae’s Medical Clinic, its officers, directors, employees, and agents from any and all claims, damages, and expenses arising from the Member's use of the Services.
Dr Jae’s Medical Clinic shall indemnify and hold harmless the Member from any and all claims, damages, and expenses arising from Dr Jae’s Medical Clinic's negligence or breach of contract.
7. DISPUTE RESOLUTION
Any disputes arising from this contract shall be resolved through binding arbitration, in accordance with the rules of the American Arbitration Association.
The arbitration shall be conducted by a single arbitrator, who shall be appointed by the parties or, if the parties cannot agree, by the American Arbitration Association.
8. GOVERNING LAW
This contract shall be governed by and construed in accordance with the laws of Texas.
Any disputes arising from this contract shall be resolved in the courts of Texas.
9. CHANGES TO TERMS AND CONDITIONS
Dr Jae’s Medical Clinic reserves the right to change the terms and conditions of this contract at any time, with at least 90 days' notice to the Member.
The Member acknowledges that it is their responsibility to review the terms and conditions of this contract regularly to stay informed of any changes.
10. RECORDING DEVICES
The Member acknowledges that recording devices, including but not limited to:
+ Smartphones
+ Smart glasses
+ Hidden recorders
+ Other electronic devices capable of recording audio or video
Are not permitted in the clinic's premises, including but not limited to:
+ Exam rooms
+ Consultation rooms
+ Waiting areas
The Member agrees to refrain from using any recording device in the clinic's premises, and to remove any such device from the premises upon request by clinic staff.
The Member acknowledges that any recording made in the clinic's premises, without the prior written consent of Dr Jae’s Medical Clinic, is a breach of this contract and may result in termination of the Membership.
Dr Jae’s Medical Clinic reserves the right to inspect any electronic device brought onto the premises, and to confiscate any device that is deemed to be in breach of this section.
10. ONLINE RESOURCE
As part of the Membership, the Member shall have access to an online resource (the "Resource") that provides educational information on various health topics.
The Resource is not intended to provide medical advice or diagnosis, but rather to serve as a general educational resource for the Member.
The Member acknowledges that the Resource is not a substitute for medical advice or treatment, and that they should consult with a qualified healthcare professional for any medical concerns.
Dr Jae’s Medical Clinic reserves the right to modify or discontinue the Resource at any time, without notice to the Member.
The Member acknowledges that Dr Jae’s Medical Clinic is not responsible for any reliance on the information provided in the Resource, and that they use the Resource at their own risk.
11. ENTIRE AGREEMENT
This contract constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements.
This contract may not be amended or modified except in writing signed by both parties.

MEMBER ACKNOWLEDGMENT:

I understand that the Resource is not intended to provide medical advice or diagnosis, and that I should consult with a qualified healthcare professional for any medical concerns. I agree to use the Resource at my own risk and acknowledge that Dr Jae’s Medical Clinic is not responsible for any reliance on the information provided in the Resource.
